LICENSE OF RIGHTS

This License is between myself, an individual or entity identified below, and Plutarch Investments, LLC (“Plutarch”), of 2525 E. Arizona Biltmore Circle, Suite A-212, Phoenix, Arizona 85016.

1. Purpose. Plutarch is an Arizona Limited Liability Company engaged in the business of developing print and/or online photo-essay publications (the “Work”). I am an individual or entity with copyright in certain photographs or files. I wish to license some rights to Plutarch to reproduce the photographs or files according to the terms below, and I hereby enter into this license (the “License”) to do so.

2. The Photos. The “Photos” means any and all photographs, photograph files, digital files, prints, negatives, videos, images, images files, and other material which I submit to Plutarch or its agents. The “Adapted Photos” means material that is derived from or based upon the Photos and which is translated, altered, arranged, transformed, or otherwise modified in a manner requiring my permission. The Photos and the Adapted Photos may be in all media and formats now known or hereafter created.

3. License. I hereby grant a worldwide, royalty-free, irrevocable, non-exclusive license to Plutarch and its agents to copy, reproduce, digitally reproduce, print, display, and distribute the Photos and the Adapted Photos. I reserve the right to copy, reproduce, digitally reproduce, print, display, and distribute the Photos for personal, non-commercial use.

4. Attribution. In consideration for this License, Plutarch shall provide attribution to me in the Work for the Photos or the Adapted Photos in the Work, if attribution information is provided below. Should such attribution information not be provided below, attribution will be made only to “Anonymous,” and such attribution is sufficient consideration for this License. No attribution need be made should the Photos or Adapted Photos not be displayed in the Work.

5. Representations and Warranties. I represent and warrant that I have the entire right, title, and interest in the Photos and have the right to convey the entire right, title, and interest without limitation. I understand that copyright laws involve large monetary penalties that may be assessed for illegally copying photographs and other works without the permission of the copyright owner.

6. Indemnification. I agree to indemnify and hold harmless Plutarch and its agents from any and all liability, damages, and expenses, including reasonable attorney’s fees, that may be incurred as a result of copying, reproducing, digitally reproducing, printing, displaying, or distributing the Photos or the Adapted Photos, including any claims brought by any person claiming an interest in the Photos, the Adapted Photos, or the subject matter contained there
